Welcome to Axonote. These Terms govern your use of the Axonote desktop application and the accompanying web services at axonote.ai and api.axonote.ai ("the Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
Axonote is operated by Michał Madejski (sole proprietor) based in Poland. For regulatory purposes this constitutes a contract with a Polish individual entrepreneur. Business address and EU VAT details are available on request at hello@axonote.ai.
2. Accounts
You must be at least 16 years old to use the Service. You are responsible for keeping your login credentials secure. Sharing an individual account between multiple people is not permitted — team and organisation plans are available separately.
3. Your content
You keep full ownership of the audio you record, the transcripts you generate, and the notes you create ("Your Content"). We process Your Content only to provide the Service: storing it on your device, optionally syncing it to your cloud workspace, transcribing it via third-party speech-to-text providers (Groq, Google), and running the semantic routing features you choose to enable.
You grant us a narrow, revocable, worldwide licence to store, transmit, display and transform Your Content strictly to the extent necessary to operate the features you use. We never sell Your Content, never use it to train models, and never share it with third parties outside the transcription/LLM providers you route through.
4. Acceptable use
Don't use the Service to record people without a lawful basis, to store or transmit content that is illegal in your jurisdiction, to reverse-engineer or resell the Service, or to circumvent usage limits. We may suspend accounts that abuse the Service, with written notice unless the abuse is severe.
5. Payments and refunds
Paid plans are billed via Stripe. Pricing is shown on the pricing page. You can cancel a subscription at any time; access continues until the end of the current billing period. Lifetime licences are non-renewing. Refunds are covered in our separate Refund Policy.
6. Your own API keys (BYOK)
If you supply your own Groq / Google API keys, you are directly responsible for the usage and billing of those keys. We store them encrypted at rest on your device (and encrypted in sync if enabled) and never transmit them to our servers.
7. Availability
The Service is provided "as available". We aim for high uptime but do not guarantee it. Scheduled maintenance and third-party outages (Supabase, Railway, Cloudflare, Groq, Google, Stripe) may temporarily interrupt parts of the Service.
8. Termination
You can close your account at any time from the in-app Account settings. Closure triggers the deletion flow described in the Privacy Policy. We can terminate an account for material breach of these Terms; we will give you a chance to correct the issue unless we are legally required not to.
9. Liability
To the extent allowed by law, our total liability to you for any claim arising out of the Service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential damages (lost revenue, data, opportunities) except in cases of wilful misconduct or gross negligence.
10. Changes
If we change these Terms we will notify you by email and in the app at least 14 days before the change takes effect. Continued use after the effective date means you accept the new Terms.
11. Law and forum
These Terms are governed by Polish law. Disputes that cannot be resolved informally go to the competent court for the operator's registered seat, unless mandatory consumer-protection law in your country assigns a different forum.
